Partnership Terms & Conditions

Authorized Recruitment Partner Agreement

1 Relationship of Parties

This agreement establishes that the Partner is an independent contractor and not an employee, agent, or legal representative of UniApply Online. The Partner has no authority to assume or create any obligation on behalf of UniApply Online or to bind UniApply Online in any manner whatsoever.

2 Partner Responsibilities

The Partner agrees to:

  • Promote Malaysian partner universities ethically and professionally.
  • Verify that all student documents (Passports, Academic Transcripts, Certificates) are authentic and original scans.
  • Provide accurate information regarding entry requirements, tuition fees, and living costs in Malaysia.
  • Ensure students complete their medical check-ups and EMGS requirements in a timely manner.

3 Prohibited Conduct

The following actions are strictly prohibited and constitute a material breach of contract:

  • Submission of fraudulent or altered documents.
  • Guaranteeing visa approvals or guaranteed employment to students.
  • Charging students exorbitant "hidden" fees under the brand name of UniApply Online.
  • Directly contacting UniApply's partner universities to bypass this agreement for students already registered in our system.

4 Commission and Payment

Commission payments are subject to the following conditions:

  • Validation: Commission is only earned once the student has arrived in Malaysia, registered at the university, and paid the full first-semester tuition fees.
  • Refunds: If a student withdraws and receives a refund from the university, any commission paid to the Partner for that student must be returned to UniApply Online or deducted from future payments.
  • Timeline: Payments are released within 45 days of receipt of funds from the University.

5 Intellectual Property

UniApply Online grants the Partner a non-exclusive, non-transferable license to use our brand logo, university marketing materials, and flyers solely for recruitment purposes. The Partner must not alter, distort, or modify these materials without written approval.

6 Confidentiality & Data Protection

Partners will have access to sensitive student data and UniApply's internal commission structures. The Partner agrees to maintain strict confidentiality and comply with the Personal Data Protection Act (PDPA). Breach of data confidentiality will lead to immediate legal action.

7 Termination

Either party may terminate this agreement with 30 days' written notice. However, UniApply Online reserves the right to terminate the partnership immediately without notice in cases of fraud, document forgery, or damage to company reputation.

8 Governing Law

This agreement shall be governed by and construed in accordance with the laws of Malaysia and Bangladesh. Any disputes arising shall be subject to the exclusive jurisdiction of the courts in Kuala Lumpur, Malaysia.
